These Terms & Conditions (“Terms”) govern your access to and use of roofer.ppc-connect.com and its content, video, booking experience, and related website features (the “Site”). The Site is operated by Prosperity Systems under the PPC Connect name (“PPC Connect,” “we,” “us,” or “our”).

1. Acceptance of these Terms

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Business audience and eligibility

The Site is intended for business representatives who are at least 18 years old and have legal capacity to enter agreements. It is not intended for consumers seeking roofing services or for children.

3. Informational purpose

The Site provides general information about PPC Connect’s pay-per-qualified-call program and allows prospective clients to request a meeting. Site content is not a binding offer, guarantee, professional advice, or promise that services are available in a particular market. We may change, correct, suspend, or remove Site content at any time.

4. Meetings and communications

When you book a meeting or contact us, you agree to provide accurate, current information and permit us and our scheduling provider to use it to administer the appointment and respond to your inquiry. Booking a meeting does not obligate either party to purchase or provide services.

If you separately consent to receive text or marketing messages, your consent applies only as described at the point of collection. Consent to marketing messages is not a condition of purchase. Message and data rates may apply. You may reply STOP to opt out of marketing text messages.

5. PPC Connect services require a separate agreement

Any paid PPC Connect program, call delivery, wallet or account balance, pricing, qualification criteria, billing, credits, disputes, service areas, call recording, cancellation, refund rights, term, and other service obligations will be governed by a separate written service agreement or order form accepted by both parties. If that agreement conflicts with these Terms, the service agreement controls for the paid services.

Examples of qualification criteria, pricing methods, timing, or program mechanics described on the Site or in the video are illustrative summaries and may not apply to every client, market, or campaign. Only the criteria and commercial terms in the applicable service agreement are binding.

6. Results and performance disclaimer

Results shown are aggregate historical results tracked by Prosperity Systems. Individual results vary based on market, service area, competition, call handling, sales process, and other factors. Past performance does not guarantee future results. PPC Connect does not guarantee any specific number of calls, jobs, revenue, return on investment, conversion rate, timeframe, or business outcome.

You are responsible for evaluating whether PPC Connect is appropriate for your business and for your own staffing, call handling, sales, licensing, customer relationships, and legal compliance.

7. Call recording and legal compliance

If you become a client, calls delivered through PPC Connect may be recorded, monitored, or analyzed as disclosed in the applicable service agreement and call flow. You are responsible for providing any notices and obtaining any consents required for your personnel and your use of recordings, and for complying with telemarketing, privacy, call-recording, licensing, advertising, consumer-protection, and industry laws applicable to your business.

8. Permitted use

You may use the Site only for lawful business purposes. You may not:

• interfere with the Site, bypass access or security controls, or test vulnerabilities without written permission;
• introduce malicious code, scrape the Site at unreasonable volume, or use automated systems in a way that burdens or disrupts it;
• impersonate another person, provide false information, or use the booking system for spam or harassment;
• copy, modify, distribute, sell, or exploit Site content except as allowed by law or written permission; or
• use the Site in a way that violates law or the rights of PPC Connect or others.

9. Intellectual property

The Site and its text, design, graphics, logos, video, audio, software, and other content are owned by or licensed to PPC Connect and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access the Site for your internal business evaluation. No other rights are granted.

10. Third-party services and links

The Site may contain embedded tools or links operated by third parties, including our scheduling provider. We do not control third-party services and are not responsible for their content, availability, security, or privacy practices. Your use of a third-party service may be governed by its own terms and policies.

11. Feedback

If you voluntarily provide ideas, suggestions, or feedback about the Site or PPC Connect, you grant us a perpetual, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation, provided we do not publicly identify you without permission.

12. Site availability and disclaimer of warranties

To the maximum extent permitted by law, the Site is provided “as is” and “as available.” PPC Connect disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Site will be secure, available, complete, current, or free of harmful components.

13. Limitation of liability

To the maximum extent permitted by law, PPC Connect and its owners, affiliates, personnel, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from or related to the Site, even if advised of the possibility.

To the maximum extent permitted by law, the total liability of PPC Connect and the foregoing parties for all claims arising from or related to the Site will not exceed one hundred U.S. dollars ($100). These limitations do not apply where liability cannot lawfully be limited.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless PPC Connect and its owners, affiliates, personnel, contractors, and service providers from claims, damages, losses, liabilities, and reasonable expenses arising from your unlawful misuse of the Site, your violation of these Terms, or your infringement of another person’s rights.

15. Suspension and termination

We may suspend or terminate access to the Site when reasonably necessary to protect the Site, enforce these Terms, comply with law, or address misuse. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limits, indemnification, and dispute provisions.

16. Disputes and applicable law

Before filing a formal claim concerning the Site, you agree to contact us and make a good-faith effort to resolve the dispute informally. These Terms are governed by applicable United States law and, without regard to conflict-of-law rules, the laws of the state in which Prosperity Systems is principally located. Any action not resolved informally must be brought in a court of competent jurisdiction, except where applicable law gives you a non-waivable right to proceed elsewhere.

17. Changes to these Terms

We may update these Terms from time to time. The effective date above shows when the current version took effect. Changes apply prospectively when posted unless a different date is stated. Your continued use of the Site after an update constitutes acceptance of the revised Terms.

18. General terms

If a provision of these Terms is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement concerning use of the Site, but they do not replace any separate service agreement.
